1. Acceptance of Terms

By accessing or using Content AI Toolbox services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users, including podcast creators ("Creators"), end-users ("Subscribers"), and visitors to our website.

2. Service Description

Content AI Toolbox provides AI-powered research assistant technology that transforms podcast content into an interactive knowledge base. Our services include:

• Automated podcast ingestion and knowledge graph generation
• AI research assistant interface for podcast subscribers
• Creator analytics dashboard with content intelligence insights
• Revenue-share subscription management

3. Partnership Agreement (for Podcast Creators)

3.1 Eligibility

To qualify as a Creator partner, you must:

• Own or have rights to distribute podcast content
• Have a minimum of 100 published episodes
• Provide accurate information about your podcast and audience
• Comply with all applicable laws and regulations

3.2 Revenue Share Model

Creators earn 40-50% of subscription revenue generated from their podcast content. Specific revenue-share terms are defined in individual partnership agreements.

• No upfront development costs
• Monthly revenue payouts (subject to minimum threshold)
• Transparent reporting and analytics

3.3 Content License

By partnering with Content AI Toolbox, you grant us a non-exclusive, worldwide license to:

• Process and ingest your podcast episodes
• Extract entities, relationships, and semantic content
• Display episode citations and metadata
• Provide AI-generated responses based on your content

You retain all ownership rights to your original content. This license terminates upon partnership termination.

4. Subscriber Terms (for End-Users)

4.1 Subscription

Subscribers pay a monthly fee ($10-49, depending on creator pricing) for access to the AI research assistant. Subscriptions auto-renew unless canceled.

4.2 Usage Restrictions

Subscribers may NOT:

• Resell, redistribute, or share subscription access
• Use automated tools to scrape or extract content
• Attempt to reverse-engineer the AI system
• Submit harmful, abusive, or illegal queries
• Exceed rate limits (50 queries per day per subscription)

4.3 Cancellation and Refunds

Subscribers may cancel at any time. Cancellations take effect at the end of the current billing period. Refunds are not provided for partial months, except as required by law.

5. Intellectual Property

5.1 Our IP

Content AI Toolbox retains all rights to:

• The AI research assistant technology and algorithms
• Knowledge graph architecture and infrastructure
• Creator dashboard and analytics tools
• Branding, trademarks, and service marks

5.2 Creator IP

Creators retain all rights to their original podcast content. Our license is limited to providing the Service and does not grant us ownership of your content.

6. Data Privacy and Security

We take data privacy seriously. Our data practices are detailed in our Privacy Policy. Key highlights:

• Conversation data is used to improve AI responses
• Creator analytics are anonymized and aggregated
• We do not sell personal data to third parties
• Enterprise-grade security measures protect user data

7. Prohibited Conduct

Users may not:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Submit malicious code, viruses, or malware
• Harass, threaten, or abuse other users
• Impersonate another person or entity
• Interfere with or disrupt the Service
• Use the Service for unauthorized commercial purposes

8. Service Availability and Modifications

We strive for 99.9% uptime but do not guarantee uninterrupted service. We reserve the right to:

• Modify, suspend, or discontinue the Service (with notice to Creators)
• Update features, pricing, or terms (with 30 days' notice)
• Perform maintenance and upgrades (scheduled when possible)

9. Disclaimers and Limitations of Liability

9.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 AI Accuracy

While we strive for accuracy, AI-generated responses may contain errors. We are not responsible for:

• Medical, legal, or financial advice provided by the AI
• Decisions made based on AI responses
• Inaccuracies in citations or extracted content

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTENT AI TOOLBOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Content AI Toolbox from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Service
• Content you submit or distribute (for Creators)
• Infringement of third-party rights

11. Termination

11.1 By You

Creators may terminate partnerships with 60 days' written notice. Subscribers may cancel subscriptions at any time.

11.2 By Us

We may suspend or terminate accounts for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment (for Creators)
• Prolonged inactivity

We will provide notice when possible, except in cases of legal requirements or security concerns.

12. Dispute Resolution

12.1 Informal Resolution

12.2 Arbitration

15.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
